AFC Energy plc (AIM: AFC), the low-cost alkaline fuel cell company that generates clean electricity from by-product hydrogen, today announces it has raised gross proceeds of £4.4 million by way of a placing by Blue Oar Securities of new ordinary shares to UK investors.

Placing Highlights

40 million new ordinary shares of 0.1 pence each are to be issued in connection with the placing, representing 31.3% of the enlarged issued share capital

The size of the offer was increased owing to strong demand from institutional investors

The new ordinary shares will be issued at a price of 11 pence per share, representing a discount of 4.3% to the closing price on AIM on 20 May

Part of the proceeds from the placing will be used to provide operating capital for the completion and installation of AFC Energy systems at Akzo Nobel’s Bitterfeld site in Germany, and for the development of AFC Energy’s 50kW system

Proceeds will also be used for the establishment of manufacturing processes and supply chains with third parties with the opening up of additional sales opportunities

Application will be made to the London Stock Exchange for the new shares to be admitted to trading on AIM. It is expected that admission will become effective and that dealing will commence on 28 May 2008

When issued, the new ordinary shares will rank equally with the Company’s existing ordinary shares

Gerard Sauer, Chief Executive, AFC Energy plc:

“Taking the fuel cell to the energy source to avoid many of the costs and infrastructure problems of moving hydrogen, is at the heart of the Company’s strategy. The support shown by new and existing shareholders in AFC Energy is very encouraging.

“The chlorine industry, which is familiar with our type of technology, remains a very important market for AFC Energy; the chlorine industry offers significant amounts of hydrogen currently being vented and lost into the atmosphere. The funds we have raised will help us to maximise the opportunities we have identified in this and other potentially lucrative markets.

“As the Company moves towards commercialisation with shipments due to commence to AFC Energy’s first customer Akzo Nobel in August this year, the Company will identify and secure reliable third-party suppliers to provide low-cost plastic mouldings. In addition AFC Energy will shortly begin working with a manufacturing partner to assemble the final product.

“With many other industries generating by-product hydrogen, the prospects for AFC Energy are very exciting.”

AFC Energy plc is pleased to announce the appointment of Ray Yeoh as International Sales Consultant. A veteran of the chlorine industry in Asia, Ray will report to Gerard Sauer, Chief Executive of AFC Energy.

Ray has over 20 years’ experience of working in the chlorine industry and will be responsible for identifying opportunities for AFC Energy to supply its fuel cells to companies that produce large amounts of hydrogen as a by-product of their activity. Currently some of this hydrogen is vented off and lost into the atmosphere.

Initially Ray will concentrate on the chlorine industry in Asia, which the Directors estimate currently produces 26 million tonnes of chlorine and 0.78 million tonnes of hydrogen (equivalent to 1,003,7500 MW of clean electricity).

AFC Energy’s first customer is the European chlorine manufacture Akzo Nobel. AFC Energy is due to ship its first set of 3.5kW fuel cells to Akzo Nobel in August 2008.

Prior to working with AFC Energy, Ray worked as a sales and technical manager with DuPont and ELTECH Systems for 18 years selling technical products such as Nafion ion exchange membranes, electrolysers, DSA Anode and Cathode Coatings to chlor-alkali plants throughout Asia. He has played key roles in the sale of several chlor-alkali plants with values between US$1million and US$5 million. He has also worked with other technical teams on start-up chlor-alkali membrane plants in South East Asia.

Gerard Sauer, Chief Executive Officer, AFC Energy, commented:

“With AFC Energy’s strategy of taking its fuel cells directly to the hydrogen source, Ray’s knowledge and contacts within the chlorine industry will be invaluable to AFC Energy and we welcome him to the Company.

“Having proved the viability and performance of our technology we look forward to Ray playing a key role in the roll-out of our fuel cells and ensuring AFC Energy becomes recognised as a key power generation partner to the industrial sector.”

AFC Energy plc, (“AFC Energy” or the “Company”), the low cost alkaline fuel cell company that focuses on industrial markets, is pleased to announce that it has successfully achieved its fifth technological milestone; 500 hours operation of its prototype system.

The successful running of AFC Energy’s prototype fuel cell confirms the durability and stability of the system after prolonged operation. Two prototypes systems were tested at the same time, both provided similar and consistent satisfactory performances. These results combined form over 1,000 hours of testing, validating the reliability of the prototype.

This milestone has been achieved within the projected timescale described in the Company’s Admission Document of April 2007.

The 500 hour operation is a significant development in the run up to beginning shipment to the Company’s customer, Akzo Nobel, who will use AFC Energy’s fuel cells to generate clean energy from the hydrogen it produces as a by-product. The prototype provides valuable operating data which will be used to assist the successful integration of the fuel cells into Akzo Nobel’s complex operating systems.

Akzo Nobel is the fourth-largest company in the chlorine manufacturing industry. The directors of AFC Energy estimate that the global chlorine industry produces approximately 1.6 million tones of hydrogen every year.

Fundamental to ensuring AFC Energy’s fuel cells reach commercial viability has been the reduction in the system’s costs. As part of this process, AFC Energy has eliminated the need for the life of electrodes to exceed 8,000 hours by making them easily replaceable and recyclable by housing them in a series of exchangeable cartridges.

Multiple cartridges assembled together will form a 3.5kW system. Initially five 3.5kW systems have been ordered, with delivery scheduled to start in August 2008 to Akzo Nobel’s site in Bitterfeld, Germany.

Gerard Sauer, Chief Executive, AFC Energy plc, said:

“This is the penultimate milestone prior to the delivery of commercial units to Akzo Nobel in August 2008 and it is extremely satisfying to have reached this point ahead of schedule.

“Through the cartridges that house the electrodes, we have developed a ‘plug and power’ system that is easy to maintain, ensures the viability of our fuel cells and makes mass production a more simple operation.

“AFC Energy is now well positioned to become a real force in providing industrial companies with solutions that allow them to re-use hydrogen to recover energy costs and contribute to their own profitability.”

Tim Yeo, Chairman, AFC Energy plc, said:

“For fuel cells and any other type of renewable energy to be viable, it is essential they can compete with existing sources of power generation.

“AFC Energy has always adopted a strategy of identifying the application and then developing the solution. With the industrial sector’s huge energy requirements it remains the focus for the Company. It is extremely pleasing that the Company’s prototype is performing and can be manufactured at a marketable level. We remain confident about the prospects for AFC Energy.”
